Clients acknowledge and agree that:

  • All final decisions remain the responsibility of the client

  • Business outcomes are influenced by factors beyond the control of Cornerpost Consulting

Any delays caused by the client, including failure to provide requested materials, approvals, or access, may result in timeline adjustments and do not constitute a breach of agreement by Cornerpost Consulting.

Cornerpost Consulting shall not be held liable for any consequences arising from client decisions, actions, or failure to act.

All fees for Services will be outlined in a separate agreement, proposal, or invoice. By engaging Cornerpost Consulting, you agree to the pricing, scope, and payment structure defined in those documents.

Unless otherwise stated, payment is due in full prior to the commencement of Services. For ongoing or retainer-based engagements, payment schedules will be defined in writing.

Failure to make timely payments may result in:

  • Suspension of Services

  • Delayed delivery of work

  • Termination of the engagement

Cornerpost Consulting reserves the right to charge reasonable late fees or interest on overdue balances where permitted by law.

You are responsible for all costs associated with collection of unpaid balances, including but not limited to administrative fees, legal fees, and third-party collection costs.

REFUNDS

All payments are non-refundable unless otherwise stated in writing. Due to the nature of consulting services, which involve time, strategy, and intellectual capital, once work has commenced, refunds will not be issued under any circumstances.

INTELLECTUAL PROPERTY

All content, materials, frameworks, systems, and methodologies provided by Cornerpost Consulting are the intellectual property of Cornerpost Consulting unless otherwise stated.

Clients are granted a limited, non-transferable license to use deliverables for their internal business purposes only. Materials may not be reproduced, distributed, or shared without prior written consent.

You retain ownership of any materials you submit. By submitting materials, you grant Cornerpost Consulting a worldwide, non-exclusive, irrevocable license to use such materials for the purpose of delivering Services and for reasonable promotional use, unless otherwise agreed in writing. You represent that you have the right to provide such materials and that they do not infringe on third-party rights.

MATERIALS PROVIDED BY CLIENT

Clients retain ownership of materials they provide. By submitting materials, clients grant Cornerpost Consulting the right to use such materials for the purpose of delivering Services.

Clients are responsible for ensuring that any materials provided do not infringe upon the rights of third parties.

THIRD-PARTY SERVICES

The Site or Services may reference or integrate with third-party tools or platforms. Cornerpost Consulting is not responsible for the availability, accuracy, content, or policies of third-party providers. Use of such services is at your own risk.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Cornerpost Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Services.

This includes, but is not limited to:

You agree to indemnify, defend, and hold harmless Cornerpost Consulting, its owners, affiliates, contractors, and representatives from and against any claims, damages, liabilities, costs, or expenses, including reasonable attorney’s fees, arising from:

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. The exclusive venue for any dispute shall be Dallas County, Texas. The parties agree to attempt good faith mediation prior to pursuing litigation.

RECOVERY OF LITIGATION EXPENSES

The prevailing party in any action to enforce these Terms shall be entitled to recover reasonable attorney’s fees and costs.

SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ASSIGNMENT

You may not assign or transfer these Terms without prior written consent. Any attempted assignment without consent is void.

CHANGES TO TERMS
